Terms of Service

These Terms of Service ("Terms") govern your access to and use of TryWired ("TryWired", "we", "us", "our"), a software application that connects messaging channels to the CRM and business tools you use (currently HubSpot). By creating an account, installing our app, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using TryWired on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

1. The Service

TryWired is a software application that brings conversations from messaging channels into the CRM and business tools you use. The Service currently integrates with HubSpot, surfacing conversations in your conversations inbox, logging activity on your contact, company, and deal records, and letting you reply without leaving your CRM.

The channels we currently support are:

• Telegram bots, connected with a bot token you supply.
• Personal Telegram accounts, connected by QR code or phone number.
• Twilio SMS and MMS, connected with your own Twilio account and phone number, including sending from the TryWired card on a HubSpot contact record.

Instagram is not yet available. TryWired is an approved Meta Tech Provider and Instagram support is in development. Any reference to Instagram on our website describes a planned channel, not a current feature, and we make no commitment as to whether or when it will launch. We may add, change, or withdraw channels and integrations over time. Specific features, channels, integrations, and limits are described on our website and may change as the Service evolves.

2. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 years old and capable of forming a binding contract to use the Service.

3. Billing, payments, and Merchant of Record

Our order process and payments are conducted by our online reseller and Merchant of Record, Polar. Polar is the seller of record for your purchases and handles payment processing, billing, invoicing, and the collection and remittance of applicable sales tax and VAT. Polar's own terms and privacy notice also apply to your purchase.

• Subscriptions are billed on the plan and cycle (monthly or annual) you select, based on the number of channels you have connected.
• Active-channel billing. You are charged only for channels that are connected. Connecting a channel starts billing for it (prorated); disconnecting a channel stops billing for it (with a prorated credit applied to your account balance).
• No per-message fees from TryWired. Pricing follows the channels you connect. Where a channel relies on your own third-party account (for example Twilio for SMS), that provider bills its own messaging and carrier fees directly to you, under your agreement with them and outside our control.
• Fees are stated exclusive of taxes, which may be added by Polar at checkout.
• Except as stated in our Refund Policy, payments are non-refundable.

4. Free trial

We may offer a free trial. At the end of the trial, your connected channels will be suspended unless you add a valid payment method and start a paid subscription. We may modify or discontinue trials at any time.

5. Your responsibilities and acceptable use

You are responsible for how you use the Service and for your compliance with all applicable laws and the terms of the third-party platforms you connect. In particular, you agree that you will:

• obtain and maintain all necessary consents from the individuals you message, and comply with anti-spam, marketing, telemarketing, data-protection, and communications laws (including, where applicable, GDPR, CAN-SPAM, TCPA, and equivalent laws);
• not use the Service to send unsolicited bulk messages, spam, unlawful, fraudulent, harassing, or infringing content;
• comply with the terms of service and acceptable-use policies of every third-party platform you connect to or use through the Service, including any CRM and any messaging channel, whether available today or added in the future.

Connected accounts and platform enforcement. Any platform you connect may rate-limit, restrict, or suspend your account or channel under its own policies. TryWired does not control these platforms and is not responsible for any enforcement action a platform takes against your accounts or channels.

Telegram personal-account connections. If you connect a personal Telegram account, you authorize TryWired to access and act on that account on your behalf to provide the Service. You acknowledge that automated use of a personal account is subject to Telegram's terms and may result in rate-limiting, restriction, or suspension of that account by Telegram. TryWired does not control Telegram and is not responsible for any action Telegram takes against your account. We apply reasonable rate limits to reduce this risk, but you use this connection at your own risk.

You must not misuse the Service, attempt to disrupt or reverse-engineer it, circumvent usage limits, or use it to build a competing product.

6. Third-party services

The Service integrates with third-party platforms and providers, including the CRM and messaging channels you connect (currently HubSpot, Telegram, and Twilio), our Merchant of Record (Polar), our cloud host (Amazon Web Services), and, for certain channels, message-delivery providers (Twilio for SMS). Your use of those services is governed by their own terms, and their availability is outside our control. We are not responsible for the acts, omissions, outages, policy changes, or discontinuation of any third-party service.

7. Customer data and privacy

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf in providing the Service, you are the data controller and we act as your data processor. A Data Processing Agreement (DPA) is available on request at support@trywired.io.

8. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in your data.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that message delivery through third-party platforms will always succeed.

10. Limitation of liability

To the maximum extent permitted by law, TryWired and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us (via Polar) for the Service in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You will indemnify and hold harmless TryWired and its operators from any claims, damages, and expenses arising out of your use of the Service, your content or messages, or your breach of these Terms or of any law or third-party platform terms.

12. Suspension and termination

You may cancel at any time; disconnecting your channels and cancelling your subscription stops future billing. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy.

13. Changes

We may update the Service and these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use after the changes take effect constitutes acceptance.

14. Governing law

TryWired is based in Delaware, United States. These Terms are governed by the laws of theState of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located inDelaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their personal jurisdiction and venue, unless applicable mandatory law in your country of residence requires otherwise.
